Policy Terms & Conditions
READ BEFORE ACCEPTINGThis policy applies to facilitators, trainers, consultants, coordinators, contractors, representatives and other persons who obtain access to Magna Skills clients, delegates, organisations, systems, information or commercial relationships through their work with Magna Skills.
Purpose and Scope
The policy protects legitimate client relationships, confidential information, delegates, institutional reputation and the integrity of Magna Skills engagements. It applies before, during and after an assignment where obligations by their nature continue.
Protected Relationships & Information
Protected relationships and information include clients, prospective clients, delegates, alumni, partner organisations, contacts, enquiries, applications, participant lists, pricing, proposals, course materials, schedules, internal records, LMS information and other non-public information obtained through Magna Skills.
No Commercial Benefit From Introduced Relationships
A person may not use an introduction, contact or relationship obtained through Magna Skills to obtain an unauthorised personal or third-party commercial benefit, including directing work, consulting assignments, training or related opportunities away from Magna Skills.
Confidentiality, Privacy & Client Data
Client and delegate information must be used only for authorised purposes, kept appropriately secure and not copied, exported, retained, disclosed or reused beyond what is reasonably required for the Magna Skills assignment or otherwise authorised.
Strict Non-Solicitation of Magna Skills Relationships
Facilitators and representatives must not privately solicit, market to, recruit, approach or contract with Magna Skills clients, delegates or introduced organisations for competing or unauthorised services arising from access obtained through Magna Skills.
Non-Circumvention
No person may bypass Magna Skills in order to deal directly with a protected relationship where the opportunity, introduction or access arose through Magna Skills, including through another company, associate, intermediary or related person.
Competing Services and Use of Magna Skills Goodwill
Magna Skills names, relationships, course information, delegate access, pricing intelligence, reputation, goodwill or confidential knowledge may not be used to establish, promote or benefit a competing or unauthorised offering.
Official Client Communications
Commercial requests, quotations, bookings, payments, future training enquiries and material changes arising from a Magna Skills engagement should be directed through authorised Magna Skills channels. Facilitators should not represent private arrangements as Magna Skills-authorised arrangements.
Professional Conduct and Reputation
Persons representing Magna Skills are expected to act professionally and in good faith. False, misleading, malicious or unauthorised statements that improperly damage Magna Skills, its clients, delegates, staff or partners are inconsistent with this policy.
Conflicts of Interest & Competing Interests
Actual, potential or perceived conflicts that may affect impartial performance or create competing commercial interests should be disclosed promptly. Magna Skills may determine appropriate safeguards, reassignment or other proportionate action.
Return, Deletion & Access Termination
On request or at the end of an assignment, protected records and access credentials must be returned, deleted or otherwise handled as instructed, subject to lawful retention requirements. Continued access must not be used for unrelated purposes.
Continuing Obligations
Confidentiality, appropriate handling of protected information, non-circumvention and other obligations intended by their nature to survive an assignment continue after the assignment or working relationship ends, subject to applicable law and contractual terms.
Breach, Suspension & Remedies
Suspected breaches may be investigated. Magna Skills may preserve evidence, restrict access, suspend assignments, request a response and take proportionate contractual, administrative or legal steps where appropriate. An allegation is not automatically a finding; affected persons should be given a reasonable opportunity to respond before a final adverse finding where practicable.
Acknowledgement & Historical Undertakings
Facilitators may be required to accept the current policy and accompanying facilitator terms before receiving assignments, delegate information or Digital Campus access. Acceptance confirms that client/delegate access is provided for authorised delivery only and supplements any earlier confidentiality or professional undertaking.
